Subscription, Billing, Cancellation, and Refund Policy

This Subscription, Billing, Cancellation, and Refund Policy (“Billing Policy”) explains how subscription plans, payments, renewals, cancellations, downgrades, refunds, failed payments, and related billing matters work for Rappor Networking, LLC, doing business as Rappor (“Rappor,” “we,” “us,” or “our”).

This Billing Policy applies to paid subscriptions for Rappor, including our websites, member portal, web application, APIs, generated group websites, generated member or business profile pages, organization-level features, and related services (collectively, the “Service”).

This Billing Policy is incorporated into and forms part of our Terms of Service. Capitalized terms not defined in this Billing Policy have the meanings given to them in the Terms of Service.

By creating a paid workspace, starting a subscription, entering payment information, continuing to use paid features, or allowing a subscription to renew, you agree to this Billing Policy.

1. Overview

Rappor offers subscription-based software and website tools for networking groups, chambers, referral groups, business organizations, and similar communities.

Paid subscriptions may include access to features such as:

  • Member portal access
  • Referral tracking
  • Closed business tracking
  • One-to-one meeting tracking
  • Attendance tracking
  • Group reporting
  • Member reporting
  • Speaker and event scheduling
  • Generated group landing pages
  • Generated business or member profile pages
  • SEO-related profile structure
  • Public group metrics
  • Custom domains
  • White labeling
  • Organization-level reporting
  • Document uploads
  • Analytics
  • Project showcase sections
  • Other features described at checkout, on our pricing page, or in a written agreement

Available plans, pricing, included features, limits, and billing intervals may vary.

2. Subscription Plans

Rappor may offer multiple subscription plans. The features included in each plan are described on our pricing page, checkout page, in-app billing page, proposal, order form, or other written agreement.

Plan features may include different levels of access for groups, organizations, administrators, and members.

We may update our plans, pricing, features, limits, or plan names from time to time. If we make changes that affect your active paid subscription, we will provide notice as required by applicable law or as otherwise described in this Billing Policy.

3. Authority to Purchase or Manage a Subscription

If you create a group or organization workspace, start a subscription, update billing information, change plans, or cancel a subscription, you represent that you are authorized to do so on behalf of the applicable group, organization, company, chamber, networking group, or other entity.

Workspace administrators are responsible for ensuring that billing decisions are made by authorized individuals.

Rappor is not responsible for disputes between workspace administrators, group members, organization leaders, companies, chambers, committees, or other parties regarding who is authorized to create, modify, or cancel a subscription.

4. Billing Cycle

Unless otherwise stated at checkout or in a written agreement, Rappor subscriptions are billed monthly in advance.

Your billing cycle begins when your paid subscription starts. Your subscription will automatically renew at the end of each billing cycle unless it is canceled before the renewal date.

The applicable renewal date, billing amount, plan, and payment method may be shown in the member portal, billing page, receipt, invoice, checkout page, or payment processor portal.

5. Automatic Renewal

Rappor subscriptions renew automatically unless canceled.

By starting a paid subscription, you authorize Rappor and our payment processor to charge your selected payment method on a recurring basis for:

  • Subscription fees
  • Applicable taxes
  • Add-on fees
  • Usage-based fees, if any
  • Seat-based charges, if any
  • Upgrade charges
  • Other charges disclosed at checkout or in a written agreement

You are responsible for reviewing the subscription terms before starting a paid plan, including the price, billing interval, renewal terms, included features, cancellation method, and refund terms.

6. Payment Processing

We may use third-party payment processors, such as Stripe, to process payments.

You agree to provide accurate and complete billing information and to keep your payment method current.

Rappor does not store full credit card numbers on our own servers. Payment card information is handled by our payment processor according to its own terms, privacy policy, and security practices.

By submitting payment information, you authorize our payment processor to charge your payment method for amounts owed under your subscription.

7. Taxes

Unless otherwise stated, subscription fees do not include taxes.

You are responsible for all applicable taxes, duties, levies, and governmental assessments associated with your subscription, except for taxes based on Rappor’s income.

If we are required to collect sales tax, use tax, or similar taxes, those amounts may be added to your invoice or checkout total.

8. Trials and Promotional Offers

Rappor may offer free trials, discounted pricing, promotional offers, beta access, founder pricing, pilot pricing, or other special terms.

Trial and promotional terms may vary and may be subject to additional conditions disclosed at signup, checkout, or in a written agreement.

Unless otherwise stated, when a trial ends, your subscription may convert to a paid subscription and your payment method may be charged according to the plan selected.

Promotional pricing may expire after the promotional period. After the promotional period ends, your subscription may renew at the then-current standard price unless canceled before renewal.

9. Upgrades

You may upgrade your subscription if upgrade options are available.

When you upgrade, the new plan may take effect immediately or at the start of the next billing cycle, depending on the checkout flow, billing configuration, or written agreement.

If an upgrade takes effect immediately, we may charge a prorated amount for the remainder of the current billing cycle, charge the full amount for the new plan, or apply another billing adjustment disclosed during the upgrade process.

Upgraded features may become available after payment is successfully processed and the subscription change is completed.

10. Downgrades

You may downgrade your subscription if downgrade options are available.

Unless otherwise stated, downgrades take effect at the end of the current billing cycle. You will generally retain access to your current plan features until the downgrade takes effect.

When a downgrade takes effect, some features may be removed, limited, disabled, unpublished, or made unavailable. This may include:

  • Business or member profile pages
  • Custom domain functionality
  • White labeling
  • Organization-level reporting
  • Cross-group reporting
  • Analytics
  • Document uploads
  • Project showcase sections
  • Public metrics
  • SEO profile features
  • Other features not included in the lower-tier plan

You are responsible for reviewing the effect of a downgrade before confirming the change.

Rappor is not responsible for loss of visibility, reduced functionality, unpublished pages, search engine changes, disabled features, or other consequences resulting from a downgrade.

11. Add-Ons, Seats, and Usage-Based Charges

Rappor may offer add-ons, seat-based pricing, extra member capacity, usage-based features, premium services, implementation support, custom setup, or other paid options.

If applicable, add-ons, seat charges, usage fees, or service fees will be disclosed at checkout, in the billing page, in a written agreement, or before the charge is incurred.

You authorize Rappor and our payment processor to charge your payment method for any add-ons, seats, usage-based charges, or other fees that you approve or that are part of your subscription.

12. Failed Payments

If your payment method fails, expires, is declined, or cannot be charged, we may:

  • Retry the payment
  • Notify workspace administrators
  • Request updated payment information
  • Suspend access to paid features
  • Restrict administrative functionality
  • Disable public pages
  • Remove custom domain functionality
  • Pause email notifications or other services
  • Downgrade your workspace
  • Cancel your subscription
  • Terminate access to the Service

We may provide a grace period, but we are not required to do so unless required by law or stated in a written agreement.

You remain responsible for unpaid amounts.

13. Past-Due Accounts

If your account becomes past due, Rappor may restrict, suspend, or disable paid features until the balance is paid.

Past-due accounts may lose access to:

  • Member portal features
  • Group or organization reporting
  • Public website publishing
  • Business profile pages
  • Custom domains
  • White labeling
  • Analytics
  • Document uploads
  • Administrative tools
  • Other subscription features

We may continue to store certain data for a limited period while your account is past due, but we are not required to maintain access to paid features during that time.

14. Cancellation

You may cancel your subscription through the cancellation method provided in the Service, through the billing portal if available, or by contacting us at [email protected].

Unless otherwise stated, cancellation takes effect at the end of the current billing cycle. You will generally retain access to paid features until the end of the billing period that has already been paid.

Canceling your subscription stops future renewal charges. It does not automatically refund amounts already paid.

You are responsible for canceling before your renewal date if you do not want your subscription to renew.

15. Cancellation by Rappor

We may cancel or suspend your subscription if:

  • Payment fails
  • Your account remains past due
  • You violate our Terms of Service or policies
  • Your use of the Service creates legal, security, operational, financial, or reputational risk
  • We are required to do so by law
  • We discontinue the Service or a material portion of the Service
  • Your workspace is inactive for an extended period
  • We reasonably believe your account or workspace has been compromised

If we cancel your subscription due to your violation of our Terms or policies, you may not be entitled to a refund.

16. Refunds

Unless otherwise stated at checkout, in a written agreement, or required by law, subscription fees are non-refundable.

This means we generally do not provide refunds or credits for:

  • Partial billing periods
  • Unused time
  • Unused features
  • Failure to use the Service
  • Downgrades
  • Cancellations after renewal
  • Member removal
  • Group inactivity
  • Organization inactivity
  • Lack of referrals, leads, search rankings, closed business, or business results
  • Loss of access due to violation of our Terms or policies

We may, in our sole discretion, issue a refund, credit, or billing adjustment in specific circumstances. Issuing a refund or credit in one instance does not require us to issue a refund or credit in the future.

17. Billing Errors

If you believe you were charged in error, contact us at [email protected] as soon as possible.

Please include:

  • Workspace name
  • Account email
  • Invoice or receipt number, if available
  • Charge date
  • Charge amount
  • Description of the issue

We will review billing error reports and determine whether an adjustment is appropriate.

You must notify us of billing disputes within 30 days after the charge appears, unless a longer period is required by law.

18. Chargebacks and Payment Disputes

If you initiate a chargeback or payment dispute with your bank or payment provider, we may suspend your account, restrict access, cancel your subscription, or pause services while the dispute is pending.

Before initiating a chargeback, we encourage you to contact us at [email protected] so we can review and attempt to resolve the issue.

You remain responsible for legitimate charges, unpaid balances, chargeback fees, collection costs, and other amounts owed to the extent permitted by law.

19. Price Changes

We may change subscription prices from time to time.

If we change the price of your active subscription, we will provide notice as required by law or as otherwise described in the Service.

Price changes may take effect at the start of a future billing cycle. If you do not agree to a price change, you must cancel your subscription before the new price takes effect.

20. Feature Changes

We may add, modify, limit, suspend, or discontinue features from time to time.

Some features may be released as beta, pilot, preview, experimental, or MVP features. These features may be changed, limited, removed, or discontinued at any time.

A change to features does not automatically entitle you to a refund unless required by law or expressly stated in a written agreement.

21. Public Pages After Cancellation or Downgrade

If your subscription is canceled, downgraded, suspended, or past due, Rappor may disable, unpublish, restrict, or remove public-facing features, including:

  • Group landing pages
  • Business profile pages
  • Member listings
  • Project showcase sections
  • Custom domain routing
  • White-labeled branding
  • Public analytics
  • Public metrics
  • Public event or speaker sections
  • Other public-facing paid features

Search engines and third-party services may continue to display cached or indexed versions of public pages after they are changed, disabled, or removed. Rappor does not control third-party caches, search results, or archives.

22. Custom Domains After Cancellation or Downgrade

If your plan includes a custom domain and your subscription is canceled, downgraded, suspended, or past due, Rappor may disable custom domain functionality.

You are responsible for managing your domain registration, DNS records, renewals, and any third-party domain provider fees.

Rappor is not responsible for domain expiration, DNS misconfiguration, lost traffic, search ranking changes, email disruption, or other issues related to your domain or DNS provider.

23. Data After Cancellation

After cancellation, downgrade, suspension, or termination, we may retain workspace data for a limited period to allow reactivation, export, legal compliance, dispute resolution, backup recovery, fraud prevention, security, accounting, or internal recordkeeping.

We may delete, anonymize, archive, or disable access to workspace data after the applicable retention period.

You are responsible for exporting any data you need before cancellation or before the end of any post-cancellation access period we provide.

24. No Guarantee of Results

Rappor does not guarantee that a subscription will result in any particular business outcome, including:

  • Search engine rankings
  • Website traffic
  • Leads
  • Referrals
  • Closed business
  • Member growth
  • Member retention
  • Revenue
  • Return on investment
  • Group success
  • Organization success

Fees are based on access to the Service and included features, not on business results.

25. Separate Services, Custom Work, or Implementation Fees

From time to time, Rappor or an affiliated service provider may offer separate professional services, setup assistance, custom implementation, design work, migration support, consulting, advertising services, SEO services, or development services.

Unless expressly included in your subscription plan or written agreement, these services are not included in standard subscription fees and may be subject to separate pricing, terms, statements of work, or agreements.

26. Conflicts Between Documents

If this Billing Policy conflicts with a signed written agreement, order form, or statement of work between you and Rappor, the signed written agreement will control for the specific subscription or services covered by that agreement.

If this Billing Policy conflicts with our Terms of Service, the Terms of Service will control except for billing-specific details, where this Billing Policy will apply unless otherwise stated.

27. Changes to this Billing Policy

We may update this Billing Policy from time to time. If we make material changes, we will provide notice by posting the updated policy, updating the “Last Updated” date, sending an email, displaying an in-app notice, or using another reasonable method.

Your continued use of the Service after the updated Billing Policy becomes effective means you accept the updated Billing Policy.

If you do not agree to the updated Billing Policy, you must cancel your subscription and stop using paid features.
